China Corporate Restructuring Tax Guide: How to Turn the October 2026 Official Manual into a Deal Checklist

A new Ministry of Finance guide collects China’s principal tax incentives and administrative materials for mergers, acquisitions, and reorganizations. It is an important starting point for transaction planning, but companies should distinguish a consolidated guide from a new statutory tax concession.

Why the guide matters

On October 30, 2026, the Ministry of Finance published the “Enterprise Merger and Reorganization Major Tax Preferential Policies Guide,” together with supporting compilations and case materials. The publication is useful because restructuring tax results in China often depend on matching the transaction’s legal form and factual conditions to separate rules on enterprise income tax, value-added tax, stamp tax, land value-added tax, and other taxes.

The guide should be treated as a structured research and implementation tool. Its publication does not, by itself, mean that every transaction qualifies for a new benefit. Qualification still depends on the underlying tax rules, transaction documents, business purpose, statutory thresholds, and compliance procedures.

A transaction-screening framework

Before signing a restructuring agreement, the tax team should prepare a written matrix covering:

  • Transaction form: equity acquisition, asset transfer, merger, division, debt restructuring, or other reorganization.
  • Taxpayer identity: target company, acquiring company, shareholders, or individual investors.
  • Consideration: cash, equity, debt assumption, non-cash assets, or a combination.
  • Business continuity: whether the acquired business, assets, and personnel continue to support the relevant operations.
  • Ownership and control: pre- and post-transaction ownership relationships and holding periods.
  • Valuation evidence: appraisals, board approvals, pricing support, and accounting treatment.
  • Filing and recordkeeping: contracts, resolutions, financial statements, tax calculations, and supporting declarations.

Example: share acquisition versus asset acquisition

Suppose Company A wants to acquire Company B’s manufacturing business. A share acquisition may preserve the target entity but also carry historical tax, invoicing, and compliance exposures. An asset acquisition may allow more targeted risk allocation, but it can create separate tax consequences for the transferred assets, consideration, invoices, and registration steps.

The guide’s case materials can help the parties identify which fact patterns resemble their proposed transaction. They should then verify the current operative rule and test whether all conditions are satisfied rather than assuming that a favorable case automatically applies.

Due-diligence checklist

  1. Obtain the target’s tax registration, filing history, tax-payment records, and open audit correspondence.
  2. Reconcile accounting records with VAT invoices, fixed-asset schedules, and transfer-pricing documentation.
  3. Identify deferred tax positions and tax attributes that may be affected by the reorganization.
  4. Confirm whether the transaction involves related parties or cross-border elements requiring additional analysis.
  5. Build conditions and documentation deliverables into the closing checklist.
  6. Preserve the official guide, underlying policy documents, calculations, and approvals in the transaction file.

Important limitation

The October publication is a guide and compilation, not a substitute for the legislation and administrative rules that govern a specific transaction. Businesses should use it to organize the analysis, then confirm the applicable provisions and procedural requirements before implementation.

Bottom line

For a China restructuring, tax planning should begin with classification, documentation, and eligibility testing—not merely with a headline tax rate. The new guide provides a practical map for that process and can improve coordination among legal, finance, tax, and transaction teams.
