What is changing
The BVI Financial Services Commission has described proposed revisions to the BVI Business Companies (Financial Return) Order and the Limited Partnership (Financial Return) Order. The Commission’s published materials state that the revised format is intended for 2026 annual returns, with those returns expected to be filed with or submitted to registered agents from September 2027 onward.
This is important because the change concerns the information format and content expected in annual financial returns. It is not the same as a new income-tax rate. Companies and limited partnerships should therefore treat the issue as a compliance-data project involving their registered agent, accounting records, and internal approvals.
Why early preparation matters
A business may technically have an annual return obligation while lacking centralized records needed to complete a revised form. Common gaps include incomplete revenue classifications, missing expense detail, unclear related-party balances, inconsistent beneficial-owner information, and financial statements that do not reconcile to transaction records.
The revised format may also require information to be presented in a more structured manner. Even where the underlying accounting data already exists, management may need additional time to map it into the required categories.
Example: a BVI holding company
Suppose a BVI business company owns an investment portfolio and has two related-party loans. Its registered agent historically received a basic set of figures each year. Before the revised annual-return format is used, the company should assemble:
- A current trial balance and transaction summary;
- Details of assets, liabilities, income, and expenses;
- Schedules for related-party loans and balances;
- Evidence supporting material transactions;
- Current ownership, management, and registered-agent information; and
- A reconciliation between accounting records and prior filings.
If the company waits until the filing cycle begins, missing information could cause delay, rework, or escalation to directors and service providers.
Action plan for directors and partners
- Ask the registered agent for a transition checklist. The agent may have its own data template before the final form is published.
- Confirm the entity population. Identify every BVI company and limited partnership subject to the revised annual-return process.
- Assign responsibility. Make one person responsible for collecting accounting, ownership, and transaction data.
- Reconcile records quarterly. Do not wait for year-end to identify unexplained balances.
- Monitor the final order and guidance. The Commission indicated that revised orders and explanatory guidance were expected around the end of October 2026.
The prudent approach is to prepare for the revised format without treating the preliminary materials as the final legal text. Directors should confirm the final requirements with the registered agent and obtain professional advice where the entity’s activities or records are complex.
